Terms & Conditions
Crafted Workwear Ltd • Company Registration No. 17233976

Important: These terms are primarily intended for supplies to Business Customers. Where the Customer is a consumer, nothing in these Terms & Conditions is intended to remove or restrict any statutory rights or remedies that apply by law.

1. Definitions

“Supplier” means Crafted Workwear Ltd.

“Customer” means the party placing the order. Where the Customer is a consumer, the Supplier’s terms are subject to the Customer’s statutory consumer rights.

“Business Customer” means a Customer acting wholly or mainly for purposes relating to that Customer’s trade, business, craft or profession.

“Goods” means garments, workwear, PPE, accessories, and any branded, embroidered, printed, altered, customised, or special-size items supplied by the Supplier.

“Bespoke Goods” means any items that are branded, embroidered, printed, altered, customised, or manufactured in special sizes.

2. Quotations & Orders

2.1 All quotations are valid for 14 days unless otherwise stated.

2.2 By accepting a quotation or issuing a purchase order, the Customer agrees to these Terms & Conditions.

2.3 The Supplier reserves the right to cancel or refuse any order at its discretion.

2.4 Orders requiring artwork, logos, or branding will not proceed until written artwork approval is received from the Customer.

2.5 The quotation, any agreed written specification, and these Terms & Conditions form the agreement between the parties. If there is a conflict, these Terms & Conditions shall apply unless the Supplier expressly agrees otherwise in writing.

3. Artwork, Branding & Samples

3.1 The Customer must approve all artwork, logos, and branding in writing before production begins.

3.2 Approved artwork is final and cannot be changed once production has commenced.

3.3 Samples, proofs, and mock-ups are indicative only; minor variations in colour, finish, thread, print, garment texture, or placement may occur.

3.4 The Supplier may refuse artwork that is offensive, discriminatory, unlawful, or infringes copyright.

3.5 The Customer warrants that it has all necessary rights, permissions and licences to use any logos, trademarks, images, artwork or other materials supplied or approved by the Customer.

3.6 The Customer shall be responsible for claims arising from materials supplied or authorised by the Customer, to the extent permitted by law.

4. Bespoke, Branded & Customised Goods

4.1 Once the Supplier has commenced branding, embroidery, printing, alterations, custom manufacturing, or has incurred non-recoverable costs specifically for the order, the affected order or items become non-cancellable, except where cancellation is required by law.

4.2 Bespoke Goods are non-returnable and non-refundable unless defective or otherwise required by law.

4.3 Special-size garments manufactured specifically for the Customer are treated as Bespoke Goods.

4.4 The Supplier is not responsible for incorrect sizing information provided by the Customer.

4.5 Where an order is cancelled before production or fulfilment has commenced, the Customer remains responsible for any costs already reasonably and irreversibly incurred by the Supplier in connection with the order, including artwork, digitising, setup, special-order, manufacturer or restocking charges, to the extent permitted by law.

5. Standard (Non-Bespoke) Goods – Returns Policy

5.1 For Business Customers, non-branded, non-altered, and non-customised items may be returned within 14 days of delivery, subject to the conditions below and unless otherwise agreed in writing.

5.2 Returned Goods must be unworn, unwashed, in original packaging, and in resalable condition.

5.3 The Customer is responsible for return shipping costs unless the item is defective or incorrectly supplied.

5.4 Refunds or credits will be issued within 7 days of inspection where the return is accepted.

5.5 Items returned outside these conditions may be refused or subject to a re-packaging or restocking fee.

5.6 Where the Customer is a consumer, nothing in this section limits or excludes any statutory cancellation, return, refund or other rights that apply by law.

6. Delivery & Lead Times

6.1 Any delivery date provided by the Supplier is an estimate only and time shall not be of the essence unless expressly agreed in writing.

6.2 Delays caused by manufacturers, stock shortages, custom sizing, supply chain issues, artwork approval, missing Customer information, payment delays, carrier issues, or other circumstances outside the Supplier’s reasonable control do not give the Customer the right to cancel Bespoke Goods, except where cancellation is required by law.

6.3 Orders may be delivered in instalments. Each instalment constitutes a separate delivery.

6.4 Partial delivery does not entitle the Customer to reject the entire order.

6.5 The Customer must inspect Goods upon delivery and report any visible defects, damage, shortages, or incorrect Goods within 48 hours of delivery.

6.6 The Supplier is not responsible for delays caused by an incorrect delivery address, failed delivery, failure to provide required information, failure to approve artwork or sizing, or other Customer-caused delay.

7. Inspection & Acceptance of Goods

7.1 Goods are deemed accepted in respect of any visible defects, damage, shortages, or incorrect Goods if the Supplier is not notified within 48 hours of delivery, subject to any statutory rights that cannot lawfully be excluded.

7.2 This 48-hour notification period does not prevent the Customer from reporting a genuine latent defect that could not reasonably have been identified on delivery.

7.3 After acceptance, Goods cannot be rejected except in respect of a valid defect or other right arising under these Terms & Conditions or applicable law.

7.4 Corrections, replacements, or alterations do not create a new cancellation right in respect of Bespoke Goods.

8. Pricing & Payment Terms

8.1 Payment terms are as stated on the quotation, invoice, or otherwise agreed in writing.

8.2 Unless otherwise agreed, the Supplier may require payment in advance or a deposit for new, Bespoke, special-order, or higher-value orders.

8.3 Late payments may incur statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998 where applicable.

8.4 The Supplier may suspend production, withhold delivery, or decline further orders where an account is overdue.

8.5 The Customer shall not withhold or deduct payment due to the Supplier without the Supplier’s prior written agreement, except where such right cannot lawfully be excluded.

8.6 Ownership of Goods remains with the Supplier until the Supplier has received payment in full for those Goods and any other sums due in respect of them, to the extent permitted by law.

8.7 Until ownership passes, the Customer shall keep unpaid Goods identifiable and shall not dispose of them other than in the ordinary course of its business.

8.8 Risk in the Goods passes to the Customer upon delivery, subject to applicable law.

9. VAT & Footwear Classification (If Applicable)

9.1 VAT will be charged at the rate applicable under HMRC rules to the particular Goods and circumstances of the supply.

9.2 Certain protective equipment, including qualifying industrial protective boots and helmets, may be eligible for zero-rating only where the applicable HMRC conditions are met.

9.3 The Customer must provide accurate information reasonably requested by the Supplier to determine the correct VAT treatment, including the intended use and whether Goods are being purchased by an employer for use by its employees.

9.4 If the Supplier does not receive sufficient information or evidence to establish that a zero-rating or other VAT relief applies, the Supplier may charge VAT at the applicable standard rate.

9.5 The Supplier reserves the right to correct VAT charges where HMRC guidance, assessment, or further information establishes that a different treatment applies. The Supplier is responsible for applying the VAT treatment required by law.

10. Customer Responsibilities

10.1 The Customer must provide accurate sizing information, delivery details, quantities, specifications, and other information required to fulfil the order.

10.2 The Customer must ensure all logos, artwork, and branding approvals are correct before production begins.

10.3 The Supplier is not liable for errors arising from incorrect, incomplete, or late information supplied by the Customer, to the extent permitted by law.

10.4 Size charts and garment measurements are guides only and may vary between manufacturers, styles and batches.

10.5 Where a sample or sizing check is offered, the Customer is responsible for ensuring that the selected sizes are suitable before approving a bulk order.

11. Defective Goods

11.1 Any visible defects, damage, shortages, or incorrect Goods must be reported to the Supplier within 48 hours of delivery.

11.2 Genuine latent defects that could not reasonably have been identified on delivery must be reported within a reasonable period after they become apparent.

11.3 Subject to applicable law, the Supplier will repair, replace, or credit defective items at its discretion.

11.4 Defects caused by misuse, accidental damage, normal wear and tear, incorrect laundering, unsuitable storage, or alterations carried out by the Customer or a third party are excluded.

11.5 The Supplier reserves the right to inspect and, where appropriate, attempt repair before offering replacement or refund.

12. Colour & Batch Variation

12.1 Due to manufacturing and decoration processes, slight colour, shade, texture, thread, print, or finish variations between batches may occur.

12.2 Colours shown in digital proofs, photographs, screens, or online listings may not exactly match the final garment or printed/embroidered result.

12.3 Such reasonable variations do not constitute a defect unless the variation is materially outside the agreed specification.

13. Customer-Supplied Garments

13.1 Where the Supplier decorates, alters, embroiders, prints, or otherwise works on garments or other items supplied by the Customer, those items are supplied at the Customer’s risk.

13.2 The Customer acknowledges that pre-existing defects, wear, damage, shrinkage, fabric composition, colourfastness, construction, or condition may affect the finished result.

13.3 The Supplier is not responsible for pre-existing defects or for damage or failure arising from characteristics of Customer-supplied items, except where caused by the Supplier’s negligence or otherwise required by law.

13.4 The Customer should provide replacement or spare items where appropriate. The Supplier is not obliged to replace Customer-supplied items that are damaged or unsuitable unless otherwise agreed in writing.

14. Force Majeure

14.1 The Supplier is not liable for delays or failures caused by events outside its reasonable control, including manufacturer delays, stock shortages, transport issues, industrial action, fire, flood, severe weather, power failure, epidemic or pandemic, government action, or other events beyond the Supplier’s reasonable control.

14.2 Where such an event occurs, the Supplier will use reasonable efforts to minimise its impact and resume performance as soon as reasonably practicable.

15. Limitation of Liability

15.1 To the fullest extent permitted by law, the Supplier’s total liability arising out of or in connection with the supply of Goods shall not exceed the total price paid or payable for the Goods giving rise to the claim.

15.2 The Supplier shall not be liable for indirect or consequential loss, loss of profit, loss of business, loss of contracts, loss of anticipated savings, or losses arising from delays to wash contracts or third-party service arrangements, to the extent permitted by law.

15.3 Nothing in these Terms & Conditions excludes or limits liability which cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or restricted.

16. Dispute Resolution

16.1 The parties will attempt in good faith to resolve any dispute informally before commencing legal proceedings.

16.2 If a dispute cannot be resolved informally, either party may seek appropriate legal remedies through the courts with jurisdiction under the applicable law.

17. Governing Law

17.1 These Terms & Conditions are governed by the laws of England and Wales.

17.2 Subject to any mandatory consumer rights or other applicable legal requirements, the courts of England and Wales shall have jurisdiction over disputes arising from or in connection with these Terms & Conditions.

18. Severance

18.1 If any provision of these Terms & Conditions is found to be invalid, unlawful, or unenforceable, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

19. Waiver

19.1 A failure or delay by the Supplier to exercise any right or remedy under these Terms & Conditions shall not constitute a waiver of that right or remedy.
